N Chandrasekaran resigns as Tata Sons chairman, won't seek reappointment

MUMBAI : Tata Sons Chairman N Chandrasekaran resigned on Wednesday, days ahead of a contentious annual general meeting, and asked the board to begin the process of finding his successor rather than seeking another term when his current tenure ends on February 20, 2027.

Chandrasekaran, widely known as Chandra within the group, is understood to have written directly to Tata Sons board members announcing the decision. What makes the move notable is that it comes despite Tata Trusts, the group’s largest shareholder, having already unanimously recommended extending his term for a further five years starting February 2027, a recommendation the Tata Sons Nomination and Remuneration Committee and full board had also unanimously endorsed at a board meeting held on September 12, 2025.

In his letter, Chandrasekaran acknowledged that backing while explaining his decision to step back regardless: “Under these circumstances, I have decided not to offer myself for reappointment when my term ends on February 20, 2027, and I would like to ask the board and the shareholders to decide on the succession soon to ensure a proper transition.” He noted he has spent 40 years with the Tata Group.

The timing carries real weight. The resignation lands a day ahead of a scheduled Tata Trusts board meeting and just days before Tata Sons’ own AGM on August 18, both of which were expected to take up the routine matter of renewing Chandrasekaran’s position as a board director following his retirement on rotation. While such renewals are typically procedural, the surrounding circumstances have turned this into anything but routine.

Chandrasekaran took over as Tata Sons chairman in February 2017, stepping into the role in the aftermath of Cyrus Mistry’s dramatic removal in October 2016, itself followed by a prolonged and public boardroom battle. His exit now, a decade after that turbulent transition, sets up a fresh succession question for the group’s principal holding company.

Under Tata Sons’ Articles of Association, the selection of a new chairman runs through a formal selection committee, with the final appointment made by the company’s board. Unlike Ratan Tata, who simultaneously chaired both Tata Sons and Tata Trusts until 2012, neither Mistry nor Chandrasekaran held the Trusts’ top post during their tenures, a structural separation that continues today, since Noel Tata currently chairs Tata Trusts and is therefore not in contention for the Tata Sons chairmanship himself.

As the largest shareholder in Tata Sons, Tata Trusts, and by extension Noel Tata, is expected to play a significant role in shaping who succeeds Chandrasekaran, even without occupying the seat directly.
